Marketing: Go Fish reserves the right to use your name and/or company name as a reference for marketing or promotional purposes on Go Fish’s website and in other communication with existing or potential Go Fish customers. To decline Go Fish this right you need to email Administration@GoFishMarketplace.com stating that you do not wish to be used as a reference.

Direct Sales Marketplace
The Service includes an online marketplace (“Marketplace”) for buyers (“Buyer(s)”) to purchase items (“Items”) from third-party merchants (“Merchant(s)”), where sales representatives can assist Merchants in the sale of such Items (“Sales Representative(s)”). Go Fish is independent from Buyer and Merchant and no partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by the operation of the Service by Go Fish. By using the Marketplace, Buyers select and purchase goods marketed by Merchants, solely of their own initiative.
Buying:When a Buyer identifies an Item for purchase, the Buyer may select the Item to checkout. At that time the Buyer shall submit valid payment information to Go Fish for payment of the Total Purchase Price. The "Total Purchase Price" is the price agreed to on the Site between Buyer and Go Fish and includes (i) the agreed price of the Item; (ii) if applicable, shipping fees; and (iii) sales tax, use tax, VAT, Internet sales tax and/or any other taxes or levies that Go Fish is required to collect from the Buyer under applicable law at the time of sale. Buyer hereby irrevocably authorizes Go Fish to charge the Buyer’s credit card or other payment methods for an amount equal to the Total Purchase Price.Buyer represents and warrants to Go Fish that such information regarding payment methods is true and that Buyer is authorized to use such payment method. Buyer will promptly update its account information with any changes (for example, a change in billing address or credit card expiration date) that may occur.If Buyer disputes any charges, Buyer must let Go Fish know within fourteen (14) days after the date that Go Fish charges Buyer. Selling and Payment as a Merchant:Merchant represents and warrants that Merchant may legally sell the specified Item, and that Merchantwill convey clear title of each Item to the Buyer upon receipt of the Total Purchase Price for the Item.When a Buyer makes an offer to purchase an Item, Go Fish will request that Merchant issue a confirmation of the sale (“Sale Confirmation”) to the Buyer. The issuance of such Sale Confirmation forms a binding contract between the Buyer and Merchant with respect to the sale and purchase of that Item. For each Item that Merchant sells, Go Fish will retain a certain percentage of the Total Purchase Price for facilitation of the Marketplace and Go Fish will remit payment to Merchant, each in accordance with the terms laid out at https://www.gofishmarketplace.com/index.php?route=information/faq at the time of the transaction. In order to ensure timely receipt of your funds as Merchant, Merchant must ensure its payment information is kept up to date in Merchant’s account.
Shipping:Merchant shall ship the Items in accordance with the terms of Go Fish’s designated shipping provider and the terms on the Site, at the time of purchase. Go Fish collects all shipping costs directly from Buyer. Upon Buyer’s request, Merchant shall provide shipping information.
Sales Process: A Sales Representative may assist a Buyer in purchasing an Item or a Merchant in selling an Item, where all such marketing and selling efforts (“Marketing Efforts”) shall be conducted in accordance with the terms laid out at:

A Sales Representative must designate one Merchant as its “Parent Merchant” where the Sales Representative must market and sell certain Items from Parent Merchant. A Sales Representative may also market and sell other Items from other Merchants to prospective Buyers. For each Item that Merchant sells with a Sales Representative’s assistance, Go Fish will remit a certain percentage of the Total Purchase Price to Sales Representative in accordance with the terms laid out at:

Go Fish offers Software applications that are intended to be operated in connection with products made commercially available by Apple Inc. (“Apple”), among other platforms.With respect to Software that is made available for your use in connection with an Apple-branded product (such Software, “Apple-Enabled Software”), in addition to the other terms and conditions set forth in these Terms of Service, the following terms and conditions apply:
Go Fish and you acknowledge and agree that Apple, and Apple’s subsidiaries, are third party beneficiaries of these Terms of Service with respect to the Apple-Enabled Software, and that, upon your acceptance of the terms and conditions of these Terms of Service, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms of Service against you with respect to the Apple-Enabled Software as a third party beneficiary thereof.
Intellectual Property Rights
In connection with the business relationship, Go Fish Marketplace, Inc., a Delaware corporation ("Company", "Go Fish Crowdfunding") has allowed you (the individual or entity) access, or may allow you access, to business, technical or other information, materials and/or ideas (“Proprietary Information,” which term shall include, without limitation, anything you learn or discover as a result of exposure to or analysis of any Proprietary Information).
In consideration of any disclosure and any negotiations concerning the business relationship, you agree as follows:
1. You will hold in confidence and will not possess or use (except as required to evaluate the proposed business relationship within the U.S.) or disclose any Proprietary Information except information you can document (a) is in the public domain through no fault of yours, (b) was properly known to you, without restriction, prior to disclosure by Company or (c) was properly disclosed to you by another person without restriction. You will not reverse engineer or attempt to derive the composition or underlying information, structure or ideas of any Proprietary Information. The foregoing does not grant you a license in or to any of the Proprietary Information.
2. If you decide not to proceed with the proposed business relationship or if asked by Company, you will promptly return all Proprietary Information and all copies, extracts and other objects or items in which Proprietary Information may be contained or embodied.
3. You will promptly notify Company of any unauthorized release, disclosure or use of Proprietary Information.
4. You understand that this Agreement does not obligate Company to disclose any information or negotiate or enter into any agreement or relationship. You will strictly abide by any and all instructions and restrictions provided by Company from time to time with respect to Proprietary Information or Company systems. You will ensure the security of any facilities, machines, accounts, passwords and methods you use to store any Proprietary Information or to access Company systems and ensure that no other person has or obtains access thereto.
5. The terms of this Agreement will remain in effect with respect to any particular Proprietary Information until you can document that such Proprietary Information falls into one of the exceptions stated in Paragraph 1 above.
6. You acknowledge and agree that due to the unique nature of the Proprietary Information, any breach of this agreement would cause irreparable harm to Company for which damages are not an adequate remedy, and that Company shall therefore be entitled to equitable relief in addition to all other remedies available at law.
7. Until one year after the later of (i) the date of this Agreement or (ii) the last disclosure of Proprietary Information to you, you will not encourage or solicit any employee or consultant of Company to leave Company for any reason.
8. This Agreement is personal to you, is nonassignable by you, is governed by the internal laws of the State of California and may be modified or waived only in writing signed by both parties. If any provision of this Agreement is found to be unenforceable, such provision will be limited or deleted to the minimum extent necessary so that the remaining terms remain in full force and effect. The prevailing party in any dispute or legal action regarding the subject matter of this Agreement shall be entitled to recover attorneys’ fees and costs.
